PURCHASE AND SALE AGREEMENT
> This purchase and Sale Agreement ("AGREEMENT") is entered into this 3rd day of
January, 2018, by and between SunLine Transit Agency ("SUNLINE"), located at 32-505 Harry
Oliver Trail, Thousand Palms, CA 92276, as seller, and the City of Cathedral City ("BUYER"),
mailing address of 68700 Avenida Lalo Guerrero, Cathedral City, CA, as purchaser. f
1 WHEREAS, SUNLINE currently possesses a 2012 El Dorado Aerotech 220 vehicle
("VEHICLE"), Vehicle Identification Number 1FDFE4FS1CDA13313, with an estimated Fair
Market Value of$3,000, which has met its useful life; and
WHEREAS, BUYER desires to acquire ownership of VEHICLE for its own use; and t
NOW, THEREFORE, in consideration of the above-stated recitals, the parties agree as t
follows:

1. SUNLINE hereby grants to BUYER ownership of the VEHICLE, currently located at 32-
505 Harry Oliver Trail, Thousand Palms, California 92276.

2. Consideration for this sale shall be the sum of one dollar ($1.00), payable from BUYER
to SUNLINE, receipt of which is hereby acknowledged by SUNLINE.
3. The VEHICLE is being sold "as-is." SUNLINE makes no representations regarding its i
performance or condition. t
4. As condition of this ownership transfer, BUYER shall, at its own expense, remove the
VEHICLE from its current location and transport it to its final destination. BUYER shall
be solely responsible for all aspects and conditions of the VEHICLE once it is removed
from SUNLINE's property. All SUNLINE branded decals are expected to be removed

prior to use of VEHICLE to avoid confusion to the public.

5. BUYER will comply with all applicable local, state, and federal laws relating to the use I

and transfer of title for the VEHICLE. All fees required to prepare and register the 1
VEHICLE with the Department of Motor Vehicles in the State of California will be the
responsibility of the BUYER.
6. BUYER agrees to indemnify, defend, and hold harmless SUNLINE from all liability
arising from the use of the VEHICLE once ownership has been transferred to BUYER.
7. BUYER represents that it currently maintains Automotive Liability Insurance with limits of
at least: $1,000,000 per occurrence, and Primary Property Damage Liability of t
$1,000,000 per occurrence, and has provided SunLine with proof of said insurance.
8. This AGREEMENT shall be effective immediately upon its execution by SUNLINE and
BUYER, at which time ownership of the VEHICLE will transfer to BUYER.

IN WITNESS WHEREOF, the parties hereto have caused this AGREEMENT to be duly
executed as of the date listed above.
