What services are to be provided: DESCRIPTION Mr. Peterson(hereinafter referred to as'Bidder)understands that the objective of this agreement is for The City of Cathedral City(hereinafter referred to as`Client") to secure through the grant making process-funding for a project entitled: "Festival Park.' Bid/contracts are submitted for each separate and distinct project.From experience, US Government proposals require 40-60 hours preparation. Any and all bid/contracts shall include a description of activities and the number of hours to complete the agreement - including any ancillary costs incurred. There is no commission or bonus charged to grants and/or contracts awarded as a result of this agreement. Bidder is to be paid on an hourly fee (USA $75) basis; and is presented in the following format: "Total Estimate of Billable Hours Up to and Not to Exceed X Hours 0 $75.00/Hour." Notice of Approval: Mr. Peterson (Bidder) shall receive authorization by the identified representative of the City of Cathedral City (Client) and within a reasonable period of time in order to begin work.Authorization shall be in the form of this agreement co-signed by the as-authorized representatives of both parties. Both parties may request that this agreement be amended for the sole purpose of completing the as-described activities. II. Activities and Timetable Research, Drafts to Completion and Submission of: Call for Applications–Art Place America–Community Development . Investment Program (a.k.a.Letter of Inquiry)–Deadline: March 12,2015 Research, Drafts to Completion and Submission of a full application to: National Endowment for the Arts – Challenge Grant Program–Deadline: April 16,2015 Registration or Re-Registration with the US Government, System for Award Management(www.sam.aov)and Grants.gov (-www.arants.aov)required for all bids for contract submitted to the US Government. The proposed time period of this agreement is:February 23–April 16.2015. III. Responsibilities of "The City of Cathedral City" (hereinafter referred to as 'Client') 1. Supply of Data and Information Understanding that the objective of this agreement is to prepare, complete and submit a series of applications and proposals to complete the project as specified and as required by grant maker priorities and guidelines: requests for information regarding the project and any related operations, programming, financial, planning, development and/or any other related un- specified activities will be made available to the Bidder on an as-needed basis. Client and Bidder agree to establish a cooperative working relationship whereby relevant information and data are to be shared. Internal and proprietary information provided to the Bidder remains the sole property of Client and the circumstances of its release to the Bidder and into the public domain will be determined solely by the Client. 2. Billing& Payment for Services Client and Bidder agree to establish a method of payment concurrent with publicly accepted practices. Both parties agree to establish a billing relationship whereby the Client accepts an end-of-month (of approximately 30 Days) statement from the Bidder detailing hours worked and where payment for services rendered are received from the Client no later than the 15`f'day of the following month. 3. Approval The Client is responsible for Signature, Sign-off, FINAL APPROVAL, and where necessary postage and delivery of all proposals, applications, correspondence and all supplemental materials completed per this agreement. Upon signature and/or final approval of said product, the Client"accepts" each item as completed "product" and assumes full responsibility and rights therein. 4. Mailing, Postage & Delivery of Proposals and Applications Upon receipt of any and all completed documents and supplemental materials from Bidder to Client, the Client assumes responsibility for signature/approval, and sign off of the submission package via electronic means (internet). 5. Contract For Service Client and Bidder understand and acknowledge that the preceding constitutes a "service agreement." Under terms of this agreement the Bidder, Mr. Peterson, understands that he is not an authorized representative of the Client; and is therefore not authorized to enter into any agreement on behalf of the Client. The Client also understands and acknowledges that the Bidder makes no guarantee that any financial and/or in-kind support will result from performance of this agreement. VI. Responsibilities of the Bidder(Michael John Peterson, d.b.a "Proposal Writing for Development) 1. Timetable&Records Bidder will provide an estimate timetable to complete the project, agrees to maintain accurate records of hours completed. Any out-of-pocket expenses must be pre-estimated, and submitted prior to purchase. Approved expenditures will be reimbursed accordingly. An accounting of hourly activities will be provided to the Client upon request and in a timely manner. 2. Reports & Proposals. Copies of all data, materials and documents developed per performance of this agreement will be delivered to Client on hard copy; USB Flash Drive; and/or transferred electronically via an internet service provider(ISP). 3. Documentation of Hours Worked. Bidder will maintain a log of hours worked and will provide an accounting on a monthly basis.
