CONSTRUCTION REIMBURSEMENT AGREEMENT
BETWEEN THE CITY OF CATHEDRAL CITY
AND LANDAU DEVELOPMENT CO.

THIS AGREEMENT, made this It-11- day of rn0Wch , 1989 , by
and between Landau Development Co. Inc. , a California Corporation,
hereinafter "Subdivider" , and the City of Cathedral City, a Municipal
Corporation, hereinafter "City" .
WITNESSETH
WHEREAS, Subdivider is the subdivider and developer of that certain
parcel of land in the City of Cathedral City described as Tract No.
21491, as per map recorded in Book 176, at Pages 59 through 62 ,
inclusive of Maps, in the office of the County Recorder of Riverside
County, California; and
WHEREAS, City has established community standards for new
subdivisions and land developments which require, among other things,
the installation of off-site improvements for the betterment of the
entire community, which improvements include sewer and water mains and
appurtenances; and
WHEREAS, City, by its adoption of Chapter 14 . 32 of the Municipal
Code, has authorized the reimbursement to subdividers and developers for
certain costs incurred by them in providing supplemental sizing or
lengthening of such improvements when required by the City, which
improvements benefit properties not within the subdivision or property
being developed, which chapter also provides for the collection of
charges from such properties being benefitted by such improvements for
their use; and
WHEREAS, subdivider has initiated construction and development of
said Tract No. 21491, and has advanced such sums and funds as necessary
to construct certain off-site sewer and water facilities and
improvements, which benefit other properties, and which, if time
permitted, would eventually have been constructed to serve such other
properties either through their own development or subdivision, by
assessment or other special district financing, or by other means; and
WHEREAS, subdivider undertook such construction with the
understanding that such sums and funds would be reimbursed, at least in
part, by the City to subdivider, from fees or charges therefor obtained
by the City from other subdividers, developers, districts, or other
entities benefitted by or making use of such sewer and water facilities,
as evidenced by City Council Minute Order No. 614, adopted on May 6,
1987 , in which the City agreed to the preparation of the herein
Instrument.

NOW THEREFORE, for and in consideration of the mutual covenants and
conditions herein contained, said parties hereby undertake, promise and
agree as follows:
1. The construction by the Subdivider of such sewer and water
improvements provides benefit to other properties, which properties
are shown on Exhibit "A-1" , and "A-2" , which are attached hereto and
made a part hereof.
2 . Subdivider has presented satisfactory evidence to the City of sewer
and water construction costs for the facilities which benefit the
properties shown in said Exhibits "A-1" and "A-2" , and the portion
of such costs attributable to the sewer facilities which benefit
such other properties is agreed to be $29,893*, and the portion of
such costs attributable to the water facilities which benefit such
other properties is agreed to be $75,297*. A complete analysis and
computation of such costs is appended hereto as Appendix No. 1.
3 . A distribution of such attributable sewer and water costs to each
other property within the areas benefitted as shown in Exhibits
"A-1" and "A-2" , as calculated by direct and indirect benefit, based
upon parcel acreage and size, all as shown within Appendix No. 1, is
shown in Exhibit "B" , which is attached hereto and made a part
hereof.
4 . City agrees that, insofar as it is able, it will require all
subdividers, developers, assessment districts or other districts or
entities within the benefitted areas to pay the City the amount per
property as shown in said Exhibit "B" as follows:
a. Subdivisions creating five or more lots: such reimbursement
charges to be collected prior to City approval of the final
map.
b. Subdivisions creating four or fewer parcels (Parcel Map) : such
reimbursement charges to be collected prior to issuance of
building permits on any of the parcels created.
c. Assessment Districts (per 1911 or 1913 Acts) : such reimburse-
ment charges to be included as an Incidental Cost of such
districts, and shall be collected after the approval of the
issuance of any bonds for such districts, and after the
confirmation of any property assessments in such districts.
d. Any other development or improvement of such properties,
including their merger or lot line adjustment: such
reimbursement charges to be paid prior to the issuance of any
building permit or other evidence of approval on such property
or properties.

City shall not be liable for any failure to collect such charges or
for any error or omission in their collection and/or payment to
subdivider.
5. Any such reimbursements collected by City shall be placed in a trust
fund and shall be paid over to Subdivider as such collections are
made, at least on anniversaries of the execution of this agreement,
without interest being paid for any time such funds collected by
City are held by the City. All such reimbursements collected shall
be paid to Subdivider at the following address:

City shall likewise notify Subdivider in writing of any change or
address of City.
6. In consideration of the transfer of City-owned parcel No.
677-401-041 to subdivider for inclusion within said Tract 21491, it
is agreed that the first $3350 of any collections made by City on
this agreement shall be kept by City as payment therefor. All
charges collected in excess of the first $3350 shall be paid over to
subdivider as herein described.
7 . From all payments made to subdivider, City shall also deduct ten
percent (10%) of such payments, to be kept by City to cover City
expenses of agreement administration and overhead.
8 . The term of this agreement shall be ten years, and the obligation
for the City to collect or attempt to collect any reimbursement
amounts still due from any benefitted properties as described herein
shall end on such termination date, unless this agreement is
extended by express approval of the City Council of the City of
Cathedral City, after its receipt of a written request from
subdivider to do so, provided such request for extension is received
prior to the expiration date hereof, and further provided no
extension shall be greater than another five year period.
9 . This agreement and the benefits accrued hereunder may not be
assigned by the subdivider to any other party or person without
express approval of such assignment by the City Council of the City
of Cathedral City, after its receipt of a written request from
subdivider for approval thereof.

10. The parties hereto agree that in the event of suit upon this
agreement, the party in whose favor judgment is ordered in such
action shall be entitled to recover therein and have added to such
judgment the reasonable value of legal services performed on behalf
of such prevailing party and against the other party to this
agreement, who thereby agrees to pay such amount and that it be
added to any such judgment.

to be executed on the day and year first above-mentioned.

** Net sewer reimbursement of $ 29,893 equals gross reimbursement of $33,883,
less $3,990 Coachella Valley Water District (CVWD) sewer credit to
developer. Individual sewer reimbursements have each been reduced by the
ratio of $29,893 divided by $33,883 = 0.88224, to determine the above net
sewer reimbursement.
NOTE: The total reimbursements per parcel differ slightly from those shown
in Appendix 1, due to the reduction in sewer charges for CVWD credits,
more accurate acreage determinations of the parcels that benefitted
were later provided, and no rounding off of the figures. Appendix 1
should be viewed for procedure and format for determining reimburse-
ments, rather than for exact figure computations.

BACKGROUND SUMMARY:
This is the first reimbursement agreement under our recently adopted
regulation contained in Chapter 14.32. The agreement is to reimburse
subdivider Iry Green of the Landau Development Co. for the oversized and
off-site public facilities that will be installed for the 76 lot
subdivision at the southwest corner of Landau and 30th. Because of the
relatively large size of the project and the extent of public facility
needs, this agreement is relatively complex. In drafting the agreement,
many alternatives were investigated, each of which would have a different
impact on the subdivider and the properties being assessed. Staff believes
the recommended formulas are fair and equitable. See attached "City
Engineer's Report" for background.
RECOMMENDATION:
Move to adopt proposed Minute Order, thereby approving Reimbursement
Agreement 87-1 with Landau Development Co. , Inc. , subject to the terms,
conditions and formulas contained therein.
FISCAL IMPACT/SOURCE:
Minor Additional Subdivision & Building Permit Administration for future

West Side of Landau Blvd, Between 30th Avenue/Frank Road

PROPOSAL:
The applicant, Iry Green, of Landau Development Co. proposes to construct sewer
and water lines in conjunction with and as a requirement of Tract 21491
consisting of 76 single family residential lots on 18 acres. The site is zoned
R1-7.2. The request includes reimbursement of on-site (oversized) and off-site
(main extensions) water and sewer lines which are designed to accommodate future
residential and governmental development in the identified benefited areas.
AUTHORIZATION:
Chapter 14.32 of the Cathedral City Municipal Code, provides that oversizing and
off-site extensions may be reimbursed through a reimbursement agreement with the
City when such improvements are required. In addition, Specific Plan 10-015
(City Council Ordinance 156) was adopted for the planning area (bounded by
Landau, 30th Ave. , Frank Rd. and the Whitewater River) to establish a development
plan and program for the orderly phasing of public improvements commensurate with
the development of individual lots or groups of parcels. To assure an equitable
participation by all property owners toward the contribution of needed
improvements, developer reimbursement agreements were mandated as a component of
the plan. In addition, the City Council on May 6, 1987, per Minute Order 614
agreed to consider an agreement with the developer for TTM 21491.
METHOD OF REIMBURSEMENT:
Chapter 14.32 CCMC provides that the City Engineer shall describe in detail the
area outside the subdivision which is benefited by the supplemental sizing,
capacity or number of improvements required, and recommend the apportionment of
the costs of such improvement based upon the benefit to such property outside the
subdivision. The apportionment of benefit shall be on the basis of frontage upon
such improvements, acreage served by such improvements, or any other formula
rationally related to actual benefit. In consideration of the proposed tract,
two methods of reimbursement have been recongized to properly distribute the
costs of the applicant's improvements - front footage and area (acreage) basis.

AREA CHARACTERISTICS:
The affected area generally has homogeneous zoning and development patterns
(existing and anticipated). Generally the benefiting properties in the proposed
formulas are vacant and a direct benefit of bringing in water and sewer lines
into the area can be demonstrated. Where obvious lot frontage benefits are not
evident, the acreage concept is most equitable, assuming that all vacant parcels
will develop to their R-1 potential . In addition, since many parcels are likely
to be merged and resubdivided, acreage formulas are fairest. This concept will
minimize the need to "factor in" variables. The benefit areas identified also
are likely to develop within the life of the agreement.
Few major water and sewer lines exist in the "benefit" areas identified, with the
exception of the Desert Princess Resort and condominium development, north of the
site and pending Assessment District 85-1 to the east. In addition, one Indian
allottee parcel of 35.5 acres has been included in certain calculations on the
basis that development will occur on the parcel . Such development will be
regulated based upon the present planning/zoning agreement between the City and
Tribal Council (Ord #10) . In the event fees cannot be collected against the
property, the developer would have to absorb the apportioned costs calculated in
the reimbursement agr'eement.
REIMBURSEMENT CONSIDERATIONS:
(See attached Reimbursement Summary Table)
1. On-site lines:
No credits are given for on-site lines which are of minimal sizing to meet
city and water district standards. These include sewer lines under 10" and
water lines under 12", based upon current Coachella Valley Water District
policies.
2. Off-site lines:
The formula, as proposed, would entitle the developer to full reimbursement
for entire off-site line costs where it has been determined that such line is
predominantly of benefit to an area where the tract can be deemed a minority
beneficiary. However, the formula deducts the developer's prorated share of
of benefit received.
This concept was developed to encourage development in an area which would
not otherwise develop without major improvements such as sewer and water
mains, when individual smaller lots might be allowed single permits without
the full benefit of major utilities (i .e. , septic system vs. sanitary sewer
connection).
3. CVWD Credits:
CVWD developer credits have also been noted in the formula and deducted to
avoid windfall profit.

4. Landau Blvd Right of Way Purchase Deduction:
In order to record the tract map, the developer must acquire a strip of land
from the City along Landau Blvd (5' x 1320') to incorporate into lots along
Landau Blvd. The developer has initially proposed to acquire the parcel (by
deed from the City) as a consideration of the reimbursement agreement. Staff
recommends that the cost of the needed right-of-way (valued at $3300) be
collected through the first reimbursement payments (prior to passing
collected funds back to the developer).
UNIT COSTS:
All formulas were based on unit costs including pipe, valves, fittings,
excavation, covering, labor. Sewer and water lines are.. not...4educted since such
installations were not proposed. The applicant has. furnished the following unit
costs for his project:

SEWER LINE REIMBURSEMENT FORMULA:
To serve TTM 21491 oversized sewer line mains must be extended from the
intersections of McCallum Way at Avenida La Palma and from Landau Blvd and 30th
Avenue, amounting to 3,300 lineal feet. Sewer Reimbursements were calculated
based upon ultimate benefit of the area (interpolated to approximate flow lines) .
Indirect and direct benefit (i .e. , line fronting lot) was calculated. The
required sewer mains include lines in McCallum Road, Landau Boulevard and 30th
Avenue depicted in Map Exhibits #1 through 5, dated September 1, 1987, attached
to this report, which includes Vicinity Maps, Benefit Parcel Pattern and sewer
line formula for each of the five exhibits.
Various segments of the main line were broken into separate formulas to generate
a direct benefit correlation. The various segments include:
McCallum (660')(Landau easterly) (Map Ex 1)
Landau (660') (McCallum to Corta) (Map Ex 2)
Landau (660') (Corta to Frank) (Map Ex 3)
Frank (660') south side of tract (Map Ex 4)
30th Avenue (660') north side of tract (Map Ex 5)
These lines represent the most direct route sewers will flow based upon present
development patterns and land contours, and as required by CVWD to serve the map
and future development. Incremental lengths were utilized to determine
"upstream" benefit areas to maximize the use of area calculations and minimize
the "frontage" calculation to equitably spread costs. In addition it is assumed
that it is not likely that individual "side" mounting lots along Landau Blvd
would directly tie into the main, but would be consolidated into larger lots for
tract development which would flow into downstream sewer line connections. These

lots are extremely narrow and deep precluding proper redivision on an individual
basis. Since the majority of the applicant's tract is about 2,000 feet from the
existing sewer in McCallum, full credit (i .e. , no minimal 8" line deduction) was
given for all off-segments of the line extension along Landau and McCallum. The
developer's fair share of the area calculation is, however, being deducted over
each segment of line.
For delineation of benefit area and apportioned costs and deductions see attached
sheets (Map Exhibits 1 through 5 with attached formulas) . The developer's gross
reimburseable figure for sewer is $34,237 of a total offsite/oversizing sewer
cost of $45,870. The net return after CVWD credits - $30,247. Since the
developer is unlikely to capture 100% of the reimburseables within the time limit
of the agreement (10 years) the CVWD deduction is tagged onto the end of the
formula, creating a collection "ceiling". The benefit of the reimbursement
agreement to the City is the introduction of a sewer main serving up to 151
acres. 116 acres is within the Specific Plan area which the City established and
directed the option of reimbursement to bring in public facilities to encourage
proper development of the area.
WATER LINE REIMBURSEMENT FORMULA:
The minimum sizing of water lines within the tract serving local streets is 8"
lines for proper pressure, volume and fire protection. Therefore the oversized
lines were considered to be only 12" and 18" lines. The reimbursement formula is
based upon Specific Plan participation. CVWD is presently requiring the
installation of 18" water lines on all Section lines (a mile grid) and 12" lines
on an apparent 1/4 mile grid (quarter section lines). In theory this means (for
an 18" line) that all properties within 1/2 mile of the water line benefit--or in
the case of a 12" line, every parcel within an 1/8th mile (or 660') .
Since all parcels within the Specific Plan area would equally benefit from
improved water flow (based upon equal density-in this case, residential), then
theoretically a "per-acre" formula could be utilized. All parcels within the
Specific Plan should contribute toward the cost of the 18" lines. Where a direct
(individual lot) connection is permitted, that lot will benefit directly since no
smaller line is needed to parallel the main to service the lot. Only those
parcels that would logically be served by the 12" line should be obligated to
contribute at the time of development. Benefiting lots are those fronting along
Frank Road.
In TTM 21491 the following oversized lines are required:

It is possible that the Desert Princess development to the north may participate
in the construction of the 18" water line along 30th Avenue. If this occurs,
then the Specific Plan properties need not be obligated to contribute into the
reimbursement agreement for TTM 21491. This provision is being written into the
agreement. However, if this scenario occurs, this does not preclude the
possibility of other reimbursement agreements being approved by the City Council
at a later date.

The developer's gross water line reimburseable figure is $75,356 based upon a
total offsite/oversizing cost of $101,501.
CITY COUNCIL HEARING:
Chapter 14.32 provides that the council must conduct a hearing prior to entering
into an agreement with the developer. The property owners within the proposed
benefited area have been notified by mail . To date staff has received four
responses, two of which by letter. These letters are attached. Those
individuals who inquired into the rationalization of the formulas have been
informed of the draft formulas and draft amounts for the parcel in question.
ENVIRONMENTAL CONSIDERATION:
This request has been a part of both Specific Plan 10-015 and Tentative Tract Map
21491 Environmental Assessment 9-246. Based upon the prior environmental
evaluations, this proposal will not have an adverse impact on the environment.
This proposed requests implements mitigation measures identified for sewer and
water facility deficiencies.
RECOMMENDATION:
IT IS RECOMMENDED THAT THE CITY COUNCIL ADOPT MINUTE ORDER . THEREBY:
1) FINDING THAT THE PROPOSAL WILL NOT HAVE AN ADVERSE IMPACT ON THE ENVIRONMENT
PURSUANT A PREVIOUSLY ADOPTED NEGATIVE DECLARATION (EA 9-246),
2) DIRECTING THE TRANSMITTAL OF A NOTICE OF DETERMINATION TO THE COUNTY CLERK TO
THE BOARD,
3) APPROVING THE DRAFT REIMBURSEMENT AGREEMENT (Reimbursement Agreement 87-1)
WITH LANDAU DEVELOPMENT COMPANY, INC., SUBJECT TO THE TERMS, CONDITIONS AND
FORMULAS CONTAINED THEREIN.
