BY AND BETWEEN
THE CITY OF CATHEDRAL CITY
AND
THE LEW EDWARDS GROUP
FOR
COMMUNICATIONS/BALLOT MEASURE PREPARATION SERVICES,
TRANSACTION & USE TAX (TUT) EXTENSION
This is the FIRST AMENDMENT TO THE SERVICE PROVIDER AGREEMENT, made and entered into
on the 7th day of November 2013, by and between the City of Cathedral City, a municipal corporation
located in the County of Riverside, State of California, hereinafter referred to as the"City", and, The Lew
Edwards Group, a California Corporation, hereinafter referred to as a "Service Provider".
EXHIBIT "A"
PHASE 2 SCOPE OF SERVICES
Service Provider shall provide the following Phase 2 Planning Services:
a) Recommend strategic communications plan and project timeline;
b) Facilitate/participate in regularly scheduled planning sessions;
c) Develop messaging materials (such as website copy, opinion leader letters, text for bill inserts,
FAQ, Sticky QAs, talking points and other collaterals as needed) to disseminate factual
information about the City's fiscal needs and service delivery issues and recommend strategies to
disseminate information;
d) Provide press releases or other text copy for traditional Earned Media and/or Social Media;
e) Work with the City to provide clarifying or correct information to the public on a rapid response
basis as needed;
f) Advise the City on additional communications avenues to disseminate its factual information,such
as use of its website, or Twitter,YouTube, and other approaches as appropriate;
g) Conceive and produce informational mailings on the City's behatf--Service Provider will facilitate
timely delivery to the US Postal Service, but cannot be responsible for the delivery of mail once it
is in the control of LISPS; and
h) Provide ongoing advice as needed, including added value to the development of staff reports,city
resolutions, and ballot materials.
The term and scope of services of this First Amendment shall commence upon execution and be
conducted through June 6, 2014.
The parties expressly acknowledge and agree that legal services or advice is not within Service
Provider's scope of services and that the City Attorney is responsible for all legal issues and judgments
related to this project.
EXHIBIT "B"
FEE SCHEDULE
AND PROPOSAL TO PROVIDE SERVICES
Payment categories and schedule shall be as follows:
a) For professional advisory services,Twenty Seven Thousand Dollars($27,000)payable as follows:
Two Thousand Dollars ($2,000) due and payable on January 31, 2014; four payments of Six
Thousand Dollars($6,000�per payment due and payable on the last business day of each month
commencing February 28 and ending May 30 2014; and the final payment of One Thousand
Dollars ($1,000) on June 6, 2014.
b) For Direct Mail Production, up to Thirty-Five Thousand Dollars ($35,000) for up to four
informational mailings inclusive of graphics, bulk postage, mailhouse fees and printing, upon
invoice by Service Provider.
c) For Out of Pocket Expenditures, Not To Exceed Two Thousand,Five Hundred Dollars($2,500)for
travel expenses(airfare, car rental, lodging), messenger or delivery service. Only those expenses
actually incurred shall be invoiced, at cost.

PERFORMANCE SCHEDULE
A recommended Performance Schedule is as follows. This schedule is subject to revision and
update based on the joint approval and agreement between City and Service Provider as to the
unique or changing needs of the project.

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed as of the dates
written below.
