For good and valuable consideration, the receipt and adequacy of which are
acknowledged, Bank of America, NA.,for itself or as authorized agent for The Bank of
New York Mellon FKA The Bank of New York, as trustee for the certificate holders of
CWALT, Inc., Alternative Loan Trust 2006-0C4("Grantor") does hereby grant to the
City of Cathedral City ("City"), a municipal corporation located in the County of
Riverside, State of California, all of Grantor's right, title and interest in that real property
located at 31837 Avenida Alvera, Cathedral City, California, identified as having Assessor's
Parcel Number 678-303-015- 3 ("Property'), with the real property more particularly
described in Exhibit "A,"attached hereto and incorporated herein by this reference.
The Property is conveyed subject to the Real Property Title Transfer Agreement and
Joint Escrow Instructions entered into between Grantor and the City, dated 5/6/13
2013 ("Agreement). The provisions of the Agreement are incorporated herein by
this reference and shall be deemed to be a part hereof as if set forth at length herein.

through certificates, Series 2006-0C4, Grantor, to the City of Cathedral City, a
municipal corporation, Grantee, is hereby accepted by the undersigned, Pat Hammers,
Grantee's City Clerk, on behalf of the City of Cathedral City pursuant to the authority
conferred by Resolution No. 82-12 adopted on February 3, 1982 by the City Council of
