The Palm Springs International F||nn Society (PS|FS) is pleased to designate City of Cathedral City
osaPresenting Sponsor and partner of the 2024 Palm Springs International Film Festival.
In light of the longstanding partnership we have with the City of Cathedral City' we are pleased
to confer our Presenting Sponsor level of benefits, at a one-time special concession fee of
$50,000. To receive our Presenting Sponsor package of benefits as described below, the
sponsorship fee will be o nnininnunn of $75,000 in 2025; the PS|F3 reserves the right to adjust
and/or increase its sponsorship fees.
The Palm Springs International Film Festival /PS|FF\ continues to earn its place as one ofthe
nation's beat attended and most prestigious film festivals, typically screening 180 films from 70
countries. Over 5DO separate screening events are presented for an audience of130,OD0+world
d02n1a enthusiasts. The film line-up continues to be distinguished by the inclusion of the
greatest number of OscarO submissions for Best International Feature Film of any festival in the
world. We are profoundly grateful to welcome you back as a sponsor and |mmk forward to

The terms of this Sponsorship Agreement are asfollows:
(A.) City of Cathedral City agrees to provide the following to the PS|FS for the 2024 Palm
Springs International Film Festival:
• Close Pickfair to vehicular traffic(dates to be determined by City of Cathedral City and PSIFF)
• Authorize the use of the electronic billboard for PS|FFannouncements
m Authorize and permit festival tents/canopies on Pickfair
• Hang festival banners on Highway Ill/Palm Canyon between Mary Pickford and |MAXtheatres

• Hang festival banners in Town Square (December 6, 2O23'January 16, ZO24\
w Promote the festival via social media and the cityvxebsite
w Promote the festival on the Cathedral City Auto Center billboard (if available)

FORCE MAJ0URE. Neither Party will be liable for any failure or delay in performing an obligation under
this Agreement that is due to any of the following causes, to the extent beyond its reasonable control:
acts of God, accident, riots, war, terrorist act, epidemic, pandemic, quarantine, civil commotion,
breakdown of communication facilities, breakdown of web host, breakdown of internet service provider,
natural catastrophes, governmental acts or omissions, changes in laws mrregulations, national strikes,
fire, explosion,generalized lack of availability mfraw materials orenergy.
For the avoidance of doubt, Force W1ajeuna shall not include (a) financial distress nor the inability of
either party to make a profit or avoid a financial loss, (b)changes in market prices or conditions, nr(c) a

CONSUMER DISCLOSURE
From time to time, Palm Springs International Film Society(we, us or Company) may be
required by law to provide to you certain written notices or disclosures. Described below are the
terms and conditions for providing to you such notices and disclosures electronically through the
DocuSign, Inc. (DocuSign) electronic signing system. Please read the information below
carefully and thoroughly, and if you can access this information electronically to your
satisfaction and agree to these terms and conditions, please confirm your agreement by clicking

Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
electronically to you by us. You will have the ability to download and print documents we send
to you through the DocuSign system during and immediately after signing session and, if you
elect to create a DocuSign signer account, you may access them for a limited period of time
(usually 30 days) after such documents are first sent to you. After such time, if you wish for us to
send you paper copies of any such documents from our office to you, you will be charged a
