SUBJECT TO all easements, rights of way, covenants, conditions, restrictions, reservations, and other matters of record, and the following: 1. The Grantee covenants by and for itself, its heirs, executors, administrators, and assigns, and all persons claiming under or through them, that there shall be no discrimination against or segregation of any person or group of persons on account of race, color, creed, religion, sex, age, marital status, physical disability, national origin, ancestry, sexual orientation, or domestic partnership arrangement in the sale, lease, sublease, rental, transfer, use, occupancy, tenure, or enjoyment of the Property, or any interest to be conveyed therein, nor shall the Grantee or any other party or persons claiming under or through the Grantee establish or permit any such practice or practices of discrimination or segregation with reference to the selection, location, number, use, or occupancy of tenants, lessees, subtenants, sub-lessees, or vendees of the Property or any development or improvements constructed thereupon. This covenant shall remain in effect for perpetuity. - 1 - C 1186-000--3840376.1 A 2. The Grantee covenants by and for itself, its heirs, executors, administrators, and assigns, and all persons claiming under or through them, that all structures developed or maintained on the Property will, at all times, be put to a use that generates for the benefit of the Grantee more than a de minimis amount(as determined by the Grantee in its reasonably exercised discretion) of either: (a) local sales taxes under the provisions of the Bradley Burns Uniform Sales Tax and Use Law(Rev. &Taxation Code, section 7200et seq.), and(b)transient occupancy taxes. This covenant shall remain in effect for a period of thirty (30) years from the date of recordation hereof. 3. The foregoing covenants shall run with the land and shall inure to the benefit of and be enforceable by the Grantor and the Grantee and their respective successors and assigns. 4. The covenants contained in this Grant Deed shall be binding for the benefit of the Grantor and Grantee and their successors and assigns, and such covenants shall run in favor of the Grantor and the Grantee for the entire period during which such covenants are to remain in full force and effect, without regard to whether the Grantor or the Grantee has at any time been, remains, or is an owner or lessee of any land or interest therein to which these covenants relate. In the event of any breach of any of these covenants, the Grantor and the Grantee shall have the right to exercise all of the rights and remedies available at law or in equity to enforce the curing of such breach.
