GRANT AGREEMENT
(Auto Center Signage)
THIS GRANT AGREEMENT (this "Agreement ") is made as of the 22nd day of June 2011, by and
between the REDEVELOPMENT AGENCY OF THE CITY OF CATHEDRAL CITY (the "Agency ") and the
. CATHEDRAL CITY AUTO CENTER ADVERTISING ASSOCIATION, Inc., a California corporation, (the
"Association ") with respect to the following matters.
1. Grant By Agency. Subject to the terms of this Agreement, the Agency hereby grants to the
Association a grant in the amount of Forty Five Thousand Three Hundred Eighty Five Dollars
($45,385.00) (the "Grant ").
2. Use of Grant. The Association agrees to use the Grant for the sole purpose of refurbishing,
improving, replacing and /or repairing the existing entry way signs to the Cathedral City Auto Center
and /or the dealer kiosk signs (the "Grant Uses ").
3. Terms on Use of Grant. The following terms apply to the use of the Grant:
a. The Association shall use the Grant solely for the Grant Uses.
b. Any portion of the Grant not used by the Association within twenty four (24) months of
the date of this Agreement shall be voided.
c. The Association shall not expend any portion of the Grant until (i) it has conferred with
the Auto Center Subcommittee of the City Council of the City (the "Subcommittee ") on
the design of the signs to be affected by the use of the Grant proceeds, and obtained
the approval of the Subcommittee on said designs, and (ii) provided the Subcommittee
with a budget and a binding contract with a third party company to undertake the
specified improvement at a stated cost, and obtained the Subcommittee's approval of
same.
d. After approval by the Subcommittee of a Grant Use design, and installation of the
finished work of improvement of said sign, the Association shall inform the
Subcommittee of the completion of the work of improvement, and the Subcommittee,
after confirming the completion of the work of improvement, shall cause the issuance of
an Agency check to the third party service provider in the amount of the approved
contract.

e. The Agency shall have no obligation to assist the Association beyond the amount of the
Grant, and shall have no obligation whatsoever to any third party service provider,
which shall look solely to the Association for repayment.
f. The Association represents and agrees that no member of the Association shall receive
any portion of the Grant proceeds, other than with the express written consent of the
Subcommittee, which may be granted or withheld by the Subcommittee in its sole
discretion.
g. The Association shall observe all codes and regulations of the City of Cathedral City
( "City ") in undertaking any work of improvement, and nothing contained in this
Agreement shall imply any pre - approval by the City or any waiver by the City of any City
code or requirement, or any waiver of any fee due in the normal course of the City's
processes for a work of improvement.
h. The works of improvement funded with the Grant proceeds constitute "public works"
for the purposes of applicable laws on prevailing wage, and therefore prevailing
wages must be paid on all such works. The Grant is contingent upon all contracts
entered into by the Association requiring that contractors and subcontractors pay
prevailing wages and otherwise observe the requirements of applicable law pertaining
to such.
4. Approvals. This Agreement must be approved by the legislative body of the Agency in order to
be binding on the Agency, and will not be submitted for consideration by that body until the Agency has
been provided a resolution of the Board of the Association, certified by the Secretary of the Association,
approving this Agreement on behalf of the Association.
