Dear Mr. Hall:
Subject: Reimbursement Agreement for Ramon Road West Valve & Manhole Adjustments
The City of Cathedral City (City) intends to construct a project commonly referred to as the
"Ramon Road West Corridor Improvements, CIP No. 8988" (Project)between Date Palm Drive
and Landau Boulevard in the City. Coachella Valley Water District(CVWD)has certain
facilities which will be affected by the Project, including 142 water valves, 28 sewer manhole
covers and one sewer cleanout (CVWD Facilities).
The Project will require: (i) the CVWD Facilities to be lowered so the City may pulverize, or
cause to be pulverized, the existing asphalt street(s), (ii)the City to install, or cause to be
installed, new asphalt in the street(s) and (iii) raise or cause the CVWD Facilities to be raised to
grade.
CVWD is responsible for items (iii) above (CVWD Portion of the Project). City has offered to
cause City's contractor(Contractor)to complete the CVWD Portion of the Project in exchange
for the payment provided herein.
The CVWD Portion of the Project shall be completed in accordance with CVWD's design
criteria and standards, including but not limited to, CVWD's standard details W-17A and S1-B.
City shall cause the Contractor to complete the CVWD Portion of the Project in accordance with
the approved Plans.
Should City determine that additional work is required, City shall submit a written request for
change order indicating the price for additional work to CVWD. CVWD shall review the change
order request and provide written approval or denial of the change order to City.
CVWD shall have the right to (i) inspect the installation of the CVWD Portion of the Project,
and (ii) enforce the Plans for the CVWD Portion of the Project, including requiring that all
unacceptable material, workmanship and/or installation be repaired, replaced or corrected by the
Contractor. Upon completion of the Project, CVWD shall have the right to complete a final

inspection of the CVWD Portion of the Project and provide notice to City either confirming that
the CVWD Portion of the Project is complete or setting forth a punch list of items that need to be
completed or corrected.
CVWD shall receive the same benefit as the City in its contract with the Contractor as to
insurance, indemnities, bonds, warranties, etc., as such applies to the CVWD Portion of the
Project.
CVWD shall issue a check to the City in the amount of$78,770 to establish a"Deposit
Account," on or before July 1, 2013, from which the City shall pay its Contractor for the
planning, design and construction of the CVWD Portion of the Project. Upon completion and
acceptance of the CVWD Portion of the Project by CVWD, City shall submit to CVWD
documentation of all payments made to its Contractor and remit to CVWD any unused portion of
the Deposit Account.
