CERTIFICATE OF COMPLETION
I, Charles P. McClendon, City Manager of the City of
Cathedral City, the Successor Agency to the Cathedral City
Redevelopment Agency (the "Successor Agency") , hereby certify as
follows :
Section 1 . The conditions to be met and improvements
required to be constructed and installed in accordance with that
certain Disposition and Development Agreement (the "Agreement")
dated December 30, 1997, and recorded on December 31, 1997, as
Instrument Number 479107, in Official Records of Riverside
County, California, by and between the Redevelopment Agency of
the City of Cathedral City and Lapis Fuel Systems, LLC, a
California Limited Liability Corporation (the "Developer") on
that certain real property more fully described in Exhibit "A"
attached hereto and incorporated herein by this reference, have
been completed in accordance with the provisions of said
Agreement.
Section 2 . This Certificate of Completion shall constitute
a conclusive determination, as of January 11, 2001, of
satisfaction of the agreements and covenants contained in the
Agreement with respect to the obligations of the Developer, and
its successors and assigns, to construct the improvements and
the dates for the beginning and completion thereof; provided,
however, that the Successor Agency may enter the Property for
the purposes of enforcing any covenant of the Agreement and
shall have the right to offset such expenditures against sums
otherwise due to the Developer under the Agreement . Said
Agreement is an official record of the Successor Agency of the
Cathedral City Redevelopment Agency and a copy of said Agreement
may be inspected in the office of the City Clerk, City of
Cathedral City, 68700 Avenida Lalo Guerrero, Cathedral City,
California 92234, during regular business hours exclusive of
Fridays .
Section 3 . The real property to which this Certificate of
Completion pertains, as described in said Agreement, is more
fully described in Exhibit "A"O attached hereto.

That real property in the City of Cathedral City, County of Riverside, State of California,
lying in the Northeast quarter of Section 33, Township 4 South, Range 5 East, San
Bernardino Base and Meridian, being more particularly described as follows:
Parcel 1: Commencing at the Northeast corner of said Section 33;
Thence South 89° 35' 30" West along the North line of Section 33, a distance of 40.00
feet to the West line of Date Palm Drive (40 foot half width) and the True Point of
Beginning, said West line being parallel with and 40.00 feet Westerly of the East line of
Section 33;
Thence continuing along said North line South 89° 35' 30" West, a distance of 222.50
feet;
